1. Acceptance of these terms

These Terms of Service (the "Terms") govern your access to and use of the website at linkedai.ca and any of its pages, content, and features (together, the "Site").

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

If you are using the Site on behalf of a company or other organization, you represent that you have the authority to bind that organization to these Terms, and "you" refers to both you and that organization.

2. Who we are

The Site is operated by LinkedAI Ltd. ("LinkedAI", "we", "us", or "our"), a company based in Winnipeg, Manitoba, Canada. We build custom artificial intelligence and automation solutions for Canadian small and medium-sized businesses.

3. What these terms cover

These Terms cover your use of the Site as a visitor — reading our pages, viewing our case studies, and contacting us through our forms or published contact details.

The Site is an informational and marketing website. It does not offer accounts, logins, subscriptions, downloads, or self-serve purchases, and nothing on it constitutes an offer capable of acceptance or a binding commitment to provide services.

4. Our services are separate

These Terms do not govern the services LinkedAI provides to its clients — including custom AI solutions, automation builds, integrations, and the Business Brain.

Any engagement between LinkedAI and your organization is governed exclusively by a separate written agreement signed by both parties, which will set out the scope of work, deliverables, fees, timelines, data handling and security commitments, confidentiality, ownership of work product, warranties, support, and termination.

Descriptions of our capabilities on the Site — including on our Product page — are provided to help you understand what we do. They are not contractual specifications, service levels, or warranties. Where anything on the Site differs from your signed agreement, your signed agreement governs. Nothing on the Site amends, supplements, or overrides it.

5. Eligibility

You must be at least 16 years old and capable of forming a binding contract to use the Site. The Site is directed at businesses, and our services are offered primarily to organizations located in Canada. We make no representation that the Site or our services are appropriate or available in any other location.

6. Permitted use

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to access and view the Site for your own informational and internal business purposes. You may:

  • Read, view, and browse the Site.
  • Share links to our pages.
  • Print or save individual pages for your own internal, non-commercial reference, keeping all copyright and attribution notices intact.
  • Quote short excerpts with clear attribution to LinkedAI and a link to the source page.

7. Prohibited use

You agree not to:

  • Copy, reproduce, republish, distribute, sell, licence, or create derivative works from the Site or its content beyond what section 6 permits.
  • Use the Site or its content to build, train, fine-tune, or evaluate any machine learning or artificial intelligence model or dataset.
  • Use automated means — scrapers, crawlers, bots, or data-mining tools — to access, extract, or monitor the Site, except for search-engine crawlers operating in accordance with our robots directives.
  • Attempt to gain unauthorized access to the Site, its hosting infrastructure, or any related system or network.
  • Interfere with or disrupt the Site, including by introducing malware, viruses, or other harmful code, or by overloading it with traffic.
  • Use the Site to send spam, chain communications, or unsolicited commercial messages, including through our contact form.
  • Reverse engineer, decompile, or disassemble any part of the Site.
  • Remove, obscure, or alter any copyright, trademark, or proprietary notice.
  • Impersonate LinkedAI, our team members, or any other person, or misrepresent your affiliation with us.
  • Use the Site for any unlawful purpose or in violation of any applicable law or regulation.
  • Use the Site in any way that could damage, disable, or impair it, or interfere with anyone else's use of it.

We may investigate and take appropriate action — including blocking access, removing content, and reporting to law enforcement — in response to any breach of this section.

8. Intellectual property

All content on the Site — including text, graphics, logos, images, photographs, video, animations, page layouts, design, and the underlying code — is owned by LinkedAI or our licensors, and is protected by Canadian and international copyright, trademark, and other intellectual property laws.

Except for the limited licence in section 6, no right, title, or interest in the Site or its content is transferred to you. All rights not expressly granted are reserved.

If you believe content on the Site infringes your intellectual property rights, contact us at info@linkedai.ca with a description of the work, the location of the material on our Site, and your contact details, and we will investigate promptly.

9. Trademarks

"LinkedAI", the LinkedAI logo, "Business Brain", and our other names, marks, and slogans are trademarks of LinkedAI Ltd. You may not use them without our prior written permission, except to refer to us factually and accurately.

Other product, company, and platform names appearing on the Site — including the platforms listed as integration targets — are the trademarks of their respective owners. Their appearance on the Site indicates technical compatibility or integration capability only. It does not imply any partnership, sponsorship, endorsement, certification, or affiliation between those companies and LinkedAI unless we state otherwise.

10. What you send us

When you submit information through our contact form or otherwise send us material — including inquiries, feedback, suggestions, and ideas ("Submissions") — the following applies:

  • Submissions are not confidential. Sending us a Submission does not create a confidentiality obligation, a non-disclosure agreement, or a fiduciary relationship. Do not send us confidential, proprietary, or sensitive information through the Site. If we are discussing a potential engagement and you need confidentiality, ask us for a non-disclosure agreement first and we will gladly put one in place.
  • No contract is formed. Submitting an inquiry does not create a client relationship or obligate either of us to proceed. A client relationship begins only when both parties sign a written services agreement.
  • Feedback licence. If you send us feedback, suggestions, or ideas about our business, website, or offerings, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use them for any purpose without obligation, compensation, or attribution to you.
  • Accuracy and rights. You are responsible for the accuracy and legality of what you send us, and you confirm you have the right to send it.

Our contact form is delivered through a third-party form provider. Section 13 and our Privacy Policy explain what that means for your information.

11. Case studies and results

The Site contains case studies, client stories, statistics, and performance figures describing outcomes achieved by specific businesses in specific circumstances.

These are illustrative, not predictive. Results depend heavily on the client's existing processes, data quality, systems, scope of work, and level of participation. Individual results vary, and we do not guarantee that your business will achieve similar outcomes. Nothing in a case study is a warranty, a service level, or a representation about future performance.

Industry statistics cited on the Site come from third-party sources and are provided for general context. We believe them to be accurate as of publication, but we do not independently verify them and do not warrant their accuracy or currency.

Any statement on the Site about our plans, roadmap, or future capabilities reflects our current intentions and may change without notice.

12. No professional advice

Content on the Site is general information about AI and automation for business. It is not legal, accounting, tax, financial, regulatory, compliance, or other professional advice, and it should not be relied on as a substitute for advice from a qualified professional familiar with your circumstances. Any reliance you place on Site content is at your own risk.

13. Third-party links and content

The Site links to and embeds third-party content and services, including LinkedIn profiles and post embeds, and relies on third-party providers for fonts, graphics, hosting, and form handling.

We do not control these third parties. We are not responsible for their content, availability, accuracy, practices, or terms, and linking to or embedding them does not imply endorsement. Your use of any third-party site or service is governed by that party's own terms and privacy policy, and is at your own risk.

14. Availability of the site

We aim to keep the Site available, but we do not guarantee uninterrupted or error-free access. The Site may be unavailable due to maintenance, technical problems, provider outages, or reasons outside our control.

We may change, suspend, restrict, or discontinue any part of the Site — including any content, page, or feature — at any time and without notice or liability to you.

15. Disclaimer of warranties

The Site and all of its content are provided "as is" and "as available", without warranty of any kind, whether express, implied, statutory, or otherwise.

To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising from course of dealing or usage of trade. Without limiting that, we do not warrant that:

  • The Site will be available, uninterrupted, timely, secure, or error-free.
  • Content on the Site is accurate, complete, current, or reliable.
  • Defects will be corrected.
  • The Site or the servers that deliver it are free of viruses or other harmful components.
  • Any result described on the Site will be achieved by you.

This section limits warranties in respect of the Site only. Warranties and commitments relating to services LinkedAI performs for a client are those set out in the applicable signed services agreement, and nothing in this section reduces them.

Some jurisdictions do not allow the exclusion of certain warranties, including under consumer protection legislation. Where that is the case, the exclusions in this section apply only to the extent permitted by law, and your statutory rights are unaffected.

16. Limitation of liability

To the fullest extent permitted by law:

  1. LinkedAI, its directors, officers, employees, contractors, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, data, or anticipated savings, arising out of or relating to your use of — or inability to use — the Site, however caused and on any theory of liability, even if we have been advised of the possibility of such damages.
  2. Our total aggregate liability arising out of or relating to the Site and these Terms will not exceed one hundred Canadian dollars (CAD $100).

These limitations apply to your use of the Site, which we provide free of charge. They do not apply to, and do not limit, our liability under a signed services agreement with a client — that agreement contains its own liability terms, which govern that relationship.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law, including liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence. Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions, our liability is limited to the greatest extent permitted by law.

17. Indemnification

You agree to indemnify, defend, and hold harmless LinkedAI and its directors, officers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses — including reasonable legal fees — arising out of or relating to your breach of these Terms, your misuse of the Site, your violation of any law, or your violation of the rights of any third party.

18. Privacy

Our handling of personal information is described in our Privacy Policy, which forms part of these Terms. By using the Site, you acknowledge that you have read it.

19. Governing law and jurisdiction

These Terms and any dispute arising out of or relating to them or to the Site are governed by the laws of the Province of Manitoba and the federal laws of Canada applicable in it, without regard to conflict-of-laws principles.

You agree that the courts of the Province of Manitoba, sitting in Winnipeg, have exclusive jurisdiction over any such dispute, and you irrevocably submit to the jurisdiction of those courts. If you are a consumer resident in another Canadian province, this section does not deprive you of the protection of mandatory provisions of the law of your province of residence, including the right to bring proceedings there where that right cannot be waived.

The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

20. Changes to these terms

We may revise these Terms at any time. The "Last updated" date at the top of this page reflects the current version. Changes take effect when posted, and your continued use of the Site after that means you accept the revised Terms. If a change is material, we will make reasonable efforts to make it prominent. Please check this page periodically.

21. General

  • Entire agreement. These Terms, together with our Privacy Policy, are the entire agreement between you and LinkedAI regarding the Site, and supersede any prior understandings about it. They do not replace or affect any signed services agreement between us.
  • Severability. If any provision is found unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions stay in full force.
  • No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
  • Assignment. You may not assign or transfer these Terms without our written consent. We may assign them freely, including in connection with a merger, acquisition, or sale of assets.
  • Survival. Sections 8 through 11 and 15 through 21 survive any termination of your use of the Site.
  • Headings. Headings are for convenience only and do not affect interpretation.
  • Language. These Terms are drafted in English. Les parties ont exigé que ce document soit rédigé en anglais.
